The Cummins Legal function provides a full range of legal services in support of Cummins Inc. and its consolidated businesses. Our United States staff is located in Columbus and Indianapolis, IN. We also have international legal offices located in the United Kingdom, India, Australia, Brazil, China, Mexico and Africa. Through these various offices, we are able to support our businesses throughout the world.

This is an exciting Corporate Counsel - Hydrogen opportunity based in Indianapolis, IN, with some travel to Columbus, IN, and offers diverse in-houseintellectual property and commercial transaction relatedresponsibilities.

Your impact will happen in these and other ways:

  • Acts as a trusted advisor for mid to high level management; has strong grasp of business environment; effectively partners with clients to identify and design needed improvements; provides legal as well as practical advice within the appropriate business context; understands and manages client expectations.

  • Assists in development of legal strategies for business and shares in management of outside counsel relationships.

  • May influence or contribute to overall objectives and goals of organization.

  • Demonstrates specialization proficiency in one or more areas of law, specialty or function; acts as a resource to others.

  • Manages/supervises large and/or complex cases and matters worldwide.

  • Responsible for project and matter management with limited supervision; exercises independent judgment.

  • Provides support and leadership in improvement and issue-resolution projects in both the Legal function and within the business units.

  • Recognized as a developing expert in the area of transactions, with expertise in intellectual property agreements, including joint development agreements, patent/trademark/copyright licenses and other IP agreements.

  • Work with technical leaders and inventors to support patent applications that provide platforms for new business opportunities or operational improvements.

  • Manages the IP in the technical areas of fuel cell technologies, including fuel cell stacks and balance of plant, but will need to understand the company’s full technical and IP portfolio to identify areas of overlay particularly hybrid powertrains utilizing fuel cells, batteries and/or internal combustion engines.

  • Acts as a trusted advisor to management on legal rights and obligations; has strong grasp of business environment; effectively partners with clients to identify and design needed improvements; provides legal as well as practical advice within the appropriate business context; understands and manages stakeholder expectations.

  • Researches, evaluates and advises management and other attorneys on recent or prospective changes in laws and regulations.

  • Instructs and supervises outside counsel and consultants as needed.

  • Effectively influences and maintains open, collaborative relationships with clients, other business partners and outside stakeholders.

  • May supervise and/or mentor one or more junior lawyers, paralegals or administrative assistants.

  • Serve on the fuel cell invention review committee to devise strategies for building and maintaining a commercially useful and robust IP portfolio that will strengthen Cummins’ position in the fuel cell industry.

  • Design, develop and implement new and existing processes that can be relied upon to improve efficiencies and create a first-class IP service the fuel cell business can rely on throughout its continued growth.

  • Manage complex freedom to operate programs in multiple-jurisdictions to identify and assess the facts and relevant law to arrive at legally sound opinions, and to relay those to management with a strategy.

Qualifications

  • Strong transactional background, with significant experience negotiating and drafting contracts (M&A experience not required, but preferred);

  • Patent prosecution and/or litigation experience is required, preferably with some experience in electrical engineering and material science; and

  • General understanding of and ability to identify issues with respect to antitrust laws.

  • Experience in an in-house legal department, most preferably gained as an employee or secondee in the department, or less preferably as primary external counsel.

  • Knowledge of proton exchange membrane (PEM) fuel cells and/or solid oxide fuel cells, gained while serving as an engineer, researcher or patent attorney.

Education, Licenses, Certifications

  • Bachelor’s in Electrical Engineering, Chemical Engineering, Mechanical Engineering (or similar degree) required

  • JD degee or equivalent required

  • Intellectual property legal experience minimum of 5 years in a manufacturing organization, law firm, government, in-house or a combination.

Compensation and Benefits

Base annual salary commensurate with experience plus annual variable compensation. Additional benefits vary between locations and include options such as our 401(k) Retirement Savings Plan, Cash Balance Pension Plan, Medical/Dental/Life Insurance, Health Savings Account, Domestic Partners Coverage and a full complement of personal and professional benefits.
